MyConnectz Service Agreement
This Services Agreement ("Agreement") is made and entered into as by and between:
Party A: MyConnectz

Party B: Signer Of This Agreement
Collectively referred to as the "Parties."
Background:
Party A is a provider of Registered Agent and Cloud-Based Technology and Associated services, specializing in registered agent services for businesses. Party B is a legal entity that requires registered agent services as required by applicable laws and regulations.
Agreement Terms:
By entering into this Agreement, Party B authorizes MyConnectz ("Party A") and its Affiliate Partners to act as its registered agent for the purpose of receiving and forwarding legal and official documents on behalf of Party B. These documents may include, but are not limited to, service of process, legal notices, correspondence from government agencies, and other documents required for compliance with applicable laws and regulations. This agreement also gives authorization to register for IRS Tax EIN Number, Dun & Bradstreet (DUN's) Number and set-up any additional services on behalf of Party B.

Party A agrees to provide registered agent services to Party B, which shall include the following:
- Maintaining a registered office address in the state or jurisdiction where Party B is required to have a registered agent. b. Receiving and promptly forwarding all legal and official documents and notices to Party B. c. Maintaining accurate and up-to-date records of all documents received and forwarded on behalf of Party B. d. Notifying Party B promptly in case of any change in the registered office address or contact information of Party A or its Affiliate Partners.

Additional Services Disclaimers:
- Website Hosting and SSL: Virtual Cloud Technology will provide you with a website that includes hosting and SSL with active services. Please note that discontinuing services will result in the loss of your website hosting and SSL services. There is a 3-day grace period from the renewal date.
- Domain Registration: Virtual Cloud Technology will provide you with access to a domain and DNS settings. Please be aware that discontinuing services will result in the loss of your domain, and it may be placed back into inventory. Virtual Cloud Technology cannot guarantee that the domain will be available after the grace period. There is a 3-day grace period from the renewal date.
- Business Email Set-up: Virtual Cloud Technology will provide you with a business email. Please note that discontinuing your domain will automatically discontinue your email, as the domain is essential for its setup. There is a 3-day grace period from the renewal date.
- Forwarding Local Phone Number: Virtual Cloud Technology will provide you with a business forwarding phone number. It is the responsibility of Party B to inform Virtual Cloud Technology if the number used for the forwarding number changes. Please be aware that discontinuing services will result in the loss of your phone number, and it may be placed back into inventory. Virtual Cloud Technology cannot guarantee that the phone number will be available after the grace period. There is a 3-day grace period from the renewal date.
- IRS Tax ID Registration: Virtual Cloud Technology will register your business with the information provided during intake and on behalf of Party B Business. Errors in data entry not caused by Virtual Cloud Technology will have an additional fee of $25.00 for any corrections. Business Owner's Social Security Number is required for this service.
- DUN's Number Registration: Virtual Cloud Technology will register your business with the information provided during intake and on behalf of Party B Business. Errors in data entry not caused by Virtual Cloud Technology will have an additional fee of $25.00 for any corrections.
- Compliance Reminders: We will send reminders to the business email of the business owner's choice. It is the sole responsibility of the business owner to regularly check emails and act on any reminders that require additional attention. Virtual Cloud Technology will not respond to any compliance notifications. Compliance reminders will only be sent once and will not have any follow-up from Virtual Cloud Technology unless hired to handle compliance notices.
- Incoming Fax Services: Virtual Cloud Technology will provide you with access to an incoming fax number (outgoing fax services not available at this time). All faxes will be forwarded to your business email, and a copy of them will be added to your client portal if requested. Please be aware that discontinuing services will result in the loss of your fax number, and it may be placed back into inventory. Virtual Cloud Technology cannot guarantee that the fax number will be available after the grace period. There is a 3-day grace period from the renewal date.
In consideration of the registered agent services provided by Party A, Party B agrees to pay an annual fee based on the initial package of choice. The payment shall be made in advance, and the first payment shall be due upon the execution of this Agreement. Subsequent payments shall be due on the anniversary date of this Agreement.

Full Business Formation Package - Initial Fee Based on State and $249 Annual Fee
This comprehensive package includes:
- Basic Business Operational Agreement

Please note that the initial fee is determined based on the state of formation, and there will be an annual fee of $249 for continued access to the services included in this package.
This Agreement shall be effective for an initial term of one (1) year from the date of execution. After the initial term, this Agreement shall automatically renew for successive one-year periods, unless either Party provides written notice of non-renewal to the other Party at least thirty (30) days prior to the end of the then-current term.
Either Party may terminate this Agreement with written notice to the other Party in the event of a material breach of the terms of this Agreement by the other Party, subject to a cure period of thirty (30) days from the date of such notice.
We do not offer refunds or partial payments for services cancelled after the 3 day alloted grace period.
- Confidentiality:
Both Parties agree to maintain the confidentiality of all information exchanged during the course of this Agreement, including but not limited to business information, customer data, and financial records.
To register for a Tax EIN Number, business owners will be required to provide their full social security number solely for this purpose. Rest assured that the social security number will be used exclusively for obtaining the Tax EIN Number. Our software is equipped with SSL Security measures to safeguard and protect your information, ensuring its safety and privacy.
- Submission Errors:
Virtual Cloud Technology and its affiliates shall not be held responsible for any errors made on intake forms for services. The responsibility for ensuring the accuracy of the information entered lies with the business owner or their authorized staff. If incorrect information is submitted and requires modification, all editing expenses shall be borne by the business owner. Should the business owner request Virtual Cloud Technology to make changes, a $75 administrative fee will be applied to cover the service.
- Governing Law and Jurisdiction:
In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, including but not limited to its formation, validity, interpretation, performance, breach, or termination, the parties agree to first attempt to resolve the matter through mediation before resorting to litigation or arbitration.
The mediation shall be conducted in accordance with the rules and procedures of a reputable mediation service selected jointly by the parties. If the parties are unable to agree on a mediation service, the mediation shall be conducted by the American Arbitration Association (AAA) in accordance with its Commercial Mediation Rules.
The parties further agree that mediation will be a prerequisite to the initiation of any legal action or proceeding, and they will diligently participate in good faith in the mediation process. Each party shall bear its own costs of mediation, and the parties shall share equally the mediator's fees, unless otherwise agreed.
The mediation shall be confidential, and any communications made during the mediation process shall be privileged and not admissible in any subsequent arbitration or court proceeding, except as required by law.
If, despite the mediation efforts, the dispute remains unresolved after a reasonable period of time or if either party refuses to participate in the mediation, the parties may proceed to pursue their rights and remedies as provided for in the governing law and jurisdiction clause of this Agreement.
The mediation clause in this Agreement is severable, and if any provision of this clause is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.
This mediation clause shall survive the termination or expiration of this Agreement.
IN WITNESS WHEREOF, the parties have executed this Agreement, including this mediation clause, as of the date first written above.
